1. Acceptance of Terms

Welcome to Learnisphere. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Learnisphere, a digital education platform operated from 32045 Castle Ct, Evergreen, CO 80439, United States ("Company," "we," "us," or "our"). By accessing, browsing, or using our website, applications, digital courses, learning materials, and any associated services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree to any provision of these Terms, you must immediately discontinue use of our Services. Your continued use of the Services following the posting of any changes to these Terms constitutes your acceptance of such changes. We reserve the right to modify, amend, or update these Terms at any time without prior notice. It is your responsibility to review these Terms periodically for changes.

These Terms apply to all visitors, users, subscribers, students, and any other individuals who access or utilize the Services, whether through free trial accounts, individual course purchases, monthly subscriptions, annual premium plans, or any other access method provided by Learnisphere.

2. Eligibility and Account Registration

2.1 Age Requirements

You must be at least 16 years of age to create an account and use our Services independently. If you are between 13 and 16 years of age, you may only use our Services with the verified consent and ongoing supervision of a parent or legal guardian. Users under the age of 13 are not permitted to use our Services under any circumstances, in compliance with the Children's Online Privacy Protection Act (COPPA).

2.2 Account Creation

To access certain features of our Services, including course enrollment, progress tracking, certificate generation, and community participation, you must create a user account. During registration, you agree to provide accurate, current, and complete information, including but not limited to your full legal name, a valid email address, and a secure password. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately at support@learnisphere.com if you become aware of any unauthorized use of your account or any other breach of security. Learnisphere shall not be liable for any loss or damage arising from your failure to protect your account information. We reserve the right to suspend or terminate any account that we reasonably believe has been compromised or is being used in violation of these Terms.

2.3 Account Accuracy

You agree to update your account information promptly whenever changes occur. Providing false, misleading, or fraudulent information during registration or at any point during your use of the Services constitutes a material breach of these Terms and may result in immediate account termination without refund.

3. Services Description

Learnisphere provides a comprehensive online educational platform offering the following categories of digital learning content:

• School Subjects: Structured academic curricula covering mathematics (algebra, geometry, calculus, statistics), physics (mechanics, thermodynamics, electromagnetism, quantum theory), chemistry (organic, inorganic, biochemistry, laboratory techniques), and languages (English, Spanish, French, Mandarin) with interactive exercises, assessments, and progress tracking.
• Future Career Paths: Professional development courses in software development (full-stack web development, mobile applications, DevOps), digital design and UX (user interface design, user experience research, motion graphics, brand identity), digital marketing (SEO, content strategy, paid acquisition, analytics, social media management), and Data Science and Artificial Intelligence (machine learning, deep learning, natural language processing, statistical analysis, data visualization).

4. Pricing, Payment, and Subscription Terms

4.1 Pricing Structure

Learnisphere offers the following pricing models:

• Individual Course Purchases: Single courses are available for one-time purchase at prices ranging from $30 to $500, depending on the course complexity, duration, and content depth. Once purchased, individual courses include lifetime access for the purchasing user.
• Monthly Pro Subscription: A recurring monthly subscription at $29 per month, providing unlimited access to the entire course library, weekly live Q&A sessions, priority mentor support, progress tracking dashboards, and exclusive career workshops.
• Annual Premium Subscription: A recurring annual subscription at $49 per month (billed annually at $588), including all Monthly Pro features plus one-on-one mentorship sessions, custom learning paths, portfolio review by industry experts, and job placement assistance.

4.2 Payment Processing

All payments are processed through secure, PCI-DSS compliant third-party payment processors. We accept major credit cards (Visa, Mastercard, American Express, Discover), debit cards, and select digital payment methods. All prices are listed in United States Dollars (USD) unless otherwise specified. You are responsible for any applicable taxes, duties, or fees imposed by your jurisdiction.

4.3 Subscription Renewal and Cancellation

Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date. You may cancel your subscription at any time through your account settings or by contacting our billing department at billing@learnisphere.com. Cancellation will take effect at the end of the current billing period, and you will retain access to subscription benefits until that date. No partial refunds are provided for unused portions of a billing period.

4.4 Price Changes

Learnisphere reserves the right to modify pricing for courses and subscription plans at any time. Active subscribers will be notified at least 30 days prior to any price increase affecting their subscription. The new pricing will take effect at the start of the next billing cycle following the notice period.

5. Intellectual Property Rights

All content available through the Services, including but not limited to video lectures, written materials, course curricula, interactive exercises, quizzes, assessments, illustrations, animations, graphics, software code examples, data sets, brand marks, logos, trademarks, and any other creative works (collectively, "Content"), is the exclusive property of Learnisphere or its content creators and licensors. This Content is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Your purchase of a course or subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Content solely for your personal, non-commercial educational purposes. You expressly agree not to:

• Copy, reproduce, distribute, republish, download, display, post, or transmit any Content in any form or by any means without prior written permission from Learnisphere.
• Modify, create derivative works from, reverse engineer, disassemble, or decompile any portion of the Content or Services.
• Share your account credentials with third parties or allow others to access your account for the purpose of viewing paid Content.
• Use any automated systems, bots, scrapers, or data mining tools to access, collect, or extract Content from the Services.
• Record, screen-capture, or otherwise duplicate video content for redistribution or commercial purposes.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in or on the Content.

6. User Conduct and Prohibited Activities

As a condition of your use of the Services, you agree to comply with all applicable local, state, national, and international laws and regulations. You further agree not to engage in any of the following prohibited activities:

• Using the Services for any unlawful purpose or in furtherance of any illegal activity.
• Harassing, threatening, intimidating, or bullying other users, instructors, or staff members.
• Posting or transmitting any content that is defamatory, obscene, pornographic, hateful, or racially or ethnically offensive.
• Attempting to gain unauthorized access to any portion of the Services, other user accounts, computer systems, or networks connected to the Services.
• Uploading or transmitting viruses, worms, Trojan horses, or other malicious code.
• Interfering with or disrupting the integrity or performance of the Services or the data contained therein.
• Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with a person or entity.
• Using the Services to send unsolicited commercial communications (spam).
• Engaging in any activity that could disable, overburden, or impair the proper functioning of the Services.

Learnisphere reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including without limitation, removing offending content, suspending or terminating the account of such violators, and reporting such activity to law enforcement authorities.

7. Disclaimer of Warranties

THE SERVICES AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. LEARNISPHERE SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM LEARNISPHERE OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

Learnisphere does not warrant that the Services will be uninterrupted, timely, secure, or error-free, that the results obtained from the use of the Services will be accurate or reliable, or that the quality of any courses, information, or other material obtained through the Services will meet your expectations. Learnisphere does not guarantee any specific learning outcomes, career placement, salary increases, or professional certifications as a result of using the Services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEARNISPHERE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, INTERNS, SUPPLIERS, SERVICE PROVIDERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF LEARNISPHERE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL LEARNISPHERE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT, INCLUDING NEGLIGENCE, OR OTHERWISE) EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO LEARNISPHERE DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

9. Indemnification

You agree to defend, indemnify, and hold harmless Learnisphere, its parent company, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorney's fees) arising from: (a) your use of and access to the Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, trademark, property, or privacy right; or (d) any claim that your use of the Services caused damage to a third party.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Jefferson County, Colorado, and you hereby consent to the personal jurisdiction and venue of such courts.

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at support@learnisphere.com. We will attempt to resolve the dispute informally within 60 days. If the dispute is not resolved within 60 days, either party may proceed with formal legal remedies.

11. Severability and Waiver

If any provision of these Terms is found to be unlawful, void, or unenforceable for any reason, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

12. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy (each incorporated herein by reference), constitute the entire agreement between you and Learnisphere regarding your use of the Services, superseding any prior agreements, communications, and proposals, whether oral or written, between you and Learnisphere.
